Terms of Service

These Terms apply to the Picked Smart website, hosted application, APIs, and related features that we make available to customers, trial users, and visitors. Additional order forms, statements of work, or enterprise agreements may supplement these Terms.

If a separate written agreement between you and Picked Smart conflicts with these Terms, the written agreement controls for the services covered by that agreement.

You must provide accurate information when you create an account, keep your credentials secure, and promptly notify us if you believe your account has been compromised.

You are responsible for all activity that occurs under your account or workspace unless the activity was caused directly by Picked Smart failing to maintain reasonable security controls.

You may use Picked Smart only for lawful business or organizational purposes. You may not use the service to send spam, promote fraud, host malicious code, violate privacy or intellectual property rights, or interfere with other users or the platform.

You may not reverse engineer the service, bypass product limits or billing controls, probe for vulnerabilities without written permission, or use automated methods that place unreasonable load on the platform.

You retain ownership of the forms, scheduling content, files, branding assets, and other data you submit to the service. You grant Picked Smart the limited rights needed to host, process, transmit, secure, back up, and display that content in order to operate the service.

You are responsible for ensuring that your content, notices, consent language, and downstream workflows comply with laws that apply to your organization, including consumer protection, employment, health, financial, and privacy laws where relevant.

Paid subscriptions renew according to the billing cycle selected at checkout unless they are canceled before the next renewal date. Trial access may be limited by time, features, or usage thresholds and may convert to a paid plan if stated at signup.

If payment fails or your account becomes past due, we may suspend access to paid features until payment is received. We may update pricing for future billing periods with reasonable advance notice.

We work to keep Picked Smart available, secure, and improving, but the service may occasionally be unavailable due to maintenance, incidents, upgrades, or third-party outages. We may modify, replace, or retire features over time.

If we discontinue a core paid feature that materially reduces the value of your current subscription, we will use commercially reasonable efforts to provide notice and an appropriate transition path.

Picked Smart and its licensors retain all rights in the service, including software, design, branding, and underlying technology, except for the limited customer rights expressly granted in these Terms.

Feedback you provide may be used by Picked Smart without restriction or compensation, but we are not required to implement any suggestion or attribution.

Except as expressly stated in a signed agreement, the service is provided on an as-available basis. We do not guarantee uninterrupted operation, error-free output, or that AI-generated suggestions will be complete, accurate, or suitable for every use case.

To the maximum extent permitted by law, Picked Smart will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for claims arising out of the service will not exceed the amounts you paid to Picked Smart for the service during the twelve months before the event giving rise to the claim.

We may suspend or terminate access if you materially breach these Terms, present a security or abuse risk, fail to pay applicable fees, or use the service in a way that could create legal exposure for Picked Smart or others.

You may stop using the service at any time. Provisions that by their nature should survive termination, including payment obligations, ownership, disclaimers, liability limits, and dispute terms, will survive.

If your order form or other written agreement specifies governing law, venue, or dispute procedures, those terms control. Otherwise, these Terms are governed by the laws of the jurisdiction of the contracting Picked Smart entity, excluding conflict-of-law rules.
